Terms of Service

These Terms of Service govern your use of all current and future applications and services offered by Memotory Technologies, including Memotory Fleet, Memotory Health, and all future Memotory products.

Pre-Launch Draft. These Terms of Service are a working document prepared for internal review and legal counsel. They are not yet in effect for public use. Placeholder fields (shown in brackets) will be finalized before public launch.

By accessing, registering for, or using any Memotory application or service, you agree to be bound by these Terms of Service and any additional policies or guidelines incorporated by reference, including our Privacy Policy.

These Terms apply to all users of the Memotory platform — including individuals, organizations, administrators, and members who access Memotory applications in any capacity.

If you do not agree with any part of these Terms, you must not use Memotory applications or services.

If you are accepting these Terms on behalf of an organization or legal entity, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, the terms "you" and "your" refer to that organization.

Your continued use of any Memotory application following any update to these Terms constitutes your acceptance of the revised Terms.

Memotory Technologies is a technology company dedicated to building cloud-based business memory platforms. Our products are designed to help organizations of all sizes preserve their operational history, maintain accurate records, and make better-informed decisions based on verified information.

Our mission is captured in a single phrase: Know the history. Take control.

Memotory's current and future product suite spans multiple domains, including fleet and asset management (Memotory Fleet), health record management (Memotory Health), and other operational platforms yet to be developed. All products operate under the Memotory platform and are governed by these Terms unless a product-specific supplement provides otherwise.

Memotory serves as a secure, structured custodian of your organization's records. We provide the technology infrastructure — not the content. The accuracy, completeness, and legal compliance of the records stored on our platform remain the responsibility of the organizations that create them.

To use Memotory applications, you must create an account and provide accurate, current, and complete information. You agree to keep your account information updated at all times.

Account Security

You are responsible for maintaining the confidentiality of your login credentials, including your password and any authentication tokens. You must not share your credentials with others or allow unauthorized access to your account.

Unauthorized Access

If you believe your account has been accessed without your authorization, or if you suspect any security breach involving your credentials, you must notify Memotory Technologies promptly at the contact information provided in Section 16. We will take reasonable steps to investigate and assist.

Account Responsibility

You are responsible for all activity that occurs under your account, including actions taken by team members who access the platform using credentials issued under your account. Memotory cannot be held responsible for losses resulting from unauthorized use of your account that occurs due to your failure to protect your credentials.

Accurate Information

You agree not to impersonate any person or entity, misrepresent your identity or affiliation, or provide false information during registration or while using the platform.

Memotory is structured around Organizations — workspaces that group a team, its records, and its settings under a single managed environment. Each Organization is owned and administered by one or more designated administrators.

Primary Administrator Responsibilities

The Primary Administrator of an Organization holds the highest level of administrative authority within that workspace. Primary Administrators are responsible for:
  • Inviting, managing, and removing users within the organization.
  • Assigning appropriate permission levels to each member.
  • Protecting the organization's operational data and ensuring it is not shared without authorization.
  • Ensuring that the organization's use of Memotory complies with applicable laws and industry regulations.
  • Maintaining accurate billing and contact information associated with the organization's account.

Member Responsibility

All members of an Organization are expected to use the platform in accordance with these Terms. The Organization's Primary Administrator accepts responsibility for ensuring that members understand and follow these Terms.

Organization Data

All records, documents, and content created or uploaded within an Organization belong to that Organization. Memotory does not transfer, expose, or share an Organization's data with other organizations.

Memotory offers multiple subscription plans designed to meet the needs of organizations at different scales. The features, storage limits, member limits, and capabilities available to your organization depend on your active plan.

The following plans are currently available or planned within the Memotory platform:

Personal

Designed for individual users managing their own records without a team. Suitable for single-user use cases.

Starter

Designed for small organizations or teams beginning to build their operational memory on the Memotory platform.

Professional

Designed for growing organizations that need expanded capacity, additional features, and greater flexibility.

Business

Designed for larger organizations with multiple teams, higher record volumes, and advanced operational requirements.

Enterprise

Designed for large-scale organizations with custom requirements, dedicated support, and enterprise-grade configurations.

Plan pricing is published separately and may be updated independently of these Terms. Your continued use of the platform after a pricing change takes effect constitutes your agreement to the updated pricing.

Memotory reserves the right to introduce new plan tiers, retire existing tiers, or modify plan features with reasonable advance notice to affected customers.

From time to time, Memotory may offer access to features, products, or services that are designated as "beta," "preview," "early access," or similar terms. These offerings are provided for evaluation and testing purposes.

By participating in any Memotory beta program, you acknowledge and agree to the following:

  • Beta features may be incomplete, unstable, or subject to change without notice.
  • Beta features may contain defects, errors, or unexpected behavior that could affect your experience or data.
  • Beta features are provided for evaluation purposes and should not be relied upon for critical business operations without appropriate caution.
  • Beta features may be discontinued, modified, or transitioned into paid features at any time.
  • Memotory provides beta features "as is" and makes no guarantees of performance, accuracy, or availability during the beta period.

Feedback

Feedback, suggestions, and observations you provide during a beta program may be used by Memotory Technologies to improve and develop the platform. By submitting feedback, you grant Memotory a non-exclusive, royalty-free, perpetual license to use that feedback for platform improvement purposes. You do not retain any intellectual property claim over feedback submitted.

Memotory is a platform for preserving and organizing operational records. It provides the infrastructure, tools, and security to store your information — but it does not verify, audit, or certify the accuracy of the records you create.

Organizations using Memotory are solely responsible for:

  • The accuracy, completeness, and truthfulness of all records entered into the platform.
  • Ensuring that all stored information is lawfully obtained and may be lawfully stored.
  • Maintaining any business documentation required by law, regulation, or industry standards — regardless of whether those records are stored in Memotory.
  • Complying with all applicable laws, regulations, and industry requirements that govern their business operations and the types of records they manage.
  • Ensuring that team members use the platform appropriately and in accordance with these Terms.

Memotory does not provide legal, medical, financial, or compliance advice. Nothing stored or generated on the platform constitutes professional certification of any kind. Organizations are responsible for obtaining qualified professional guidance for regulated business decisions.

You agree to use Memotory applications only for lawful purposes and in a manner consistent with these Terms. The following actions are strictly prohibited:

  • Attempting to gain unauthorized access to any part of the platform, other organizations' data, or Memotory's internal systems.
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of any Memotory software where prohibited by applicable law.
  • Uploading, transmitting, or storing malware, viruses, ransomware, or any other malicious code.
  • Using the platform to store, distribute, or promote illegal content of any kind.
  • Impersonating any individual, organization, or Memotory representative.
  • Engaging in any activity that disrupts, degrades, or interferes with the availability or performance of the platform for other users.
  • Scraping, harvesting, or systematically extracting data from the platform using automated tools without explicit authorization.
  • Attempting to circumvent, disable, or tamper with any security, access control, or authentication mechanism.
  • Using the platform in a way that violates the rights of any third party, including intellectual property rights and privacy rights.

Violations of this section may result in immediate suspension or termination of your account, without prior notice where the violation poses a risk to the platform or other users.

Memotory and its licensors retain all intellectual property rights in and to the Memotory platform and its components.

Memotory Owns

Memotory Technologies owns all rights, title, and interest in:
  • The Memotory platform software, including all source code, compiled code, and application logic.
  • All Memotory branding, trademarks, service marks, logos, and product names.
  • All user interface designs, visual elements, and design systems.
  • All documentation, marketing materials, and platform-generated content produced by Memotory.
  • Any improvements, derivatives, or modifications to the platform developed by Memotory.

You Own Your Data

Organizations and their authorized users retain full ownership of all operational records, documents, and content they create or upload to the Memotory platform. This includes but is not limited to:

  • Maintenance records, service orders, and repair histories.
  • Health records, clinical notes, and patient data (future products).
  • Uploaded files, photographs, and documents.
  • Custom fields, annotations, and organization-defined data structures.

By storing content on the Memotory platform, you grant Memotory Technologies a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the services described in these Terms. This license does not give Memotory any ownership interest in your content.

Memotory Technologies is committed to maintaining a reliable, high-availability platform. We work to ensure that Memotory applications are accessible when you need them.

However, we cannot guarantee uninterrupted, error-free service at all times. Availability may be affected by:

  • Scheduled maintenance, which we will communicate in advance where reasonably practicable.
  • Unplanned outages due to hardware failures, network disruptions, or third-party infrastructure issues beyond our reasonable control.
  • Security-related actions taken to protect the platform and its users.
  • Force majeure events, including natural disasters, governmental actions, or other circumstances outside our reasonable control.

We will make reasonable efforts to restore service promptly in the event of any disruption. Planned maintenance windows will be communicated through in-application notices or email where feasible.

Memotory does not provide a guaranteed uptime service level agreement unless explicitly stated in a separate written agreement with your organization.

Your data belongs to your organization. This is a non-negotiable principle of the Memotory platform.

Memotory Technologies never claims ownership over the records, documents, or operational data created or stored by your organization. This includes, without limitation:

  • Maintenance history and service records.
  • Service orders, work items, and associated costs.
  • Health records, clinical data, and patient information (future products).
  • Uploaded files, photographs, and attachments.
  • Organizational records, member information, and configuration data.
  • Any other information your organization enters, uploads, or generates through Memotory applications.

Memotory exists to serve as the secure, organized, and accessible repository for your operational memory. We provide the technology infrastructure — you own what is stored within it.

You may export your organization's records at any time using the tools provided within the platform. Upon closure of your account, you will be given a reasonable opportunity to export your data before it is permanently deleted, in accordance with our data retention practices described in our Privacy Policy.

Memotory reserves the right to suspend or terminate access to the platform under certain circumstances. We will make reasonable efforts to communicate with affected organizations before taking action, except where immediate action is necessary to protect the platform or other users.

Grounds for Suspension or Termination

  • Non-payment of applicable subscription fees following a reasonable grace period.
  • Material violation of these Terms of Service.
  • Engaging in prohibited conduct as described in the Acceptable Use section.
  • Reasonable suspicion of fraudulent, abusive, or illegal activity.
  • Actions that pose a security risk to the platform, other organizations, or third parties.

Grace Periods

Where suspension is due to non-payment, Memotory will provide a grace period before data is deleted. During this period, your account may be placed in a read-only or restricted state. The duration of the grace period will be communicated through in-application notices or email. Following the grace period, access may be fully suspended and data may be scheduled for deletion.

Voluntary Termination

You may close your organization's account at any time. Upon voluntary closure, you are encouraged to export your data before initiating the closure process. After account closure, Memotory will retain your data for a limited transition period before permanent deletion, in accordance with our Privacy Policy.

Effect of Termination

Upon termination of your account — whether voluntary or initiated by Memotory — your right to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination will continue to apply.

Memotory is a software platform designed to help organizations store, organize, and access their operational records. It is not a substitute for professional judgment, business management, or expert advice.

To the maximum extent permitted by applicable law, Memotory Technologies shall not be liable for:

  • Business decisions made by your organization based on information stored in or generated by the platform.
  • Losses resulting from inaccurate, incomplete, or erroneous data entered by your organization or its members.
  • Indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the platform.
  • Loss of profits, revenue, contracts, or business opportunities connected to platform use.
  • Unauthorized access to your account resulting from your failure to protect your credentials.
  • Service interruptions resulting from circumstances outside Memotory's reasonable control.

Where limitation of liability is not permitted by applicable law, our liability to you will be limited to the maximum extent permitted.

Nothing in these Terms limits our liability for fraud, gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law.

Memotory Technologies continuously develops and improves the Memotory platform. We may introduce updates, enhancements, bug fixes, security patches, or new features at any time without requiring your individual approval.

Updates may include:

  • New features and improvements to existing functionality.
  • Changes to the user interface or user experience.
  • Security updates and vulnerability patches.
  • Performance optimizations.
  • Deprecation or removal of features that are no longer supported.

Where an update materially changes how an existing feature works, we will make reasonable efforts to notify affected users through in-application communication or email before the change takes effect.

We may also update these Terms of Service as the platform evolves. Material changes will be communicated with reasonable notice as described in our Privacy Policy.

These Terms of Service, and any disputes arising from them or from your use of the Memotory platform, shall be governed by and construed in accordance with applicable law.

We are committed to resolving disputes in a fair and timely manner. Where possible, we encourage customers to contact us directly before initiating formal legal proceedings, as many concerns can be resolved through good-faith communication.
